At Video Content Shop (VCS), we take pride in delivering premium-quality audiovisual content with full commitment, creative integrity, and timely delivery. Each project we take on activates an entire production workflow involving professional crew members, actors, directors, animators, and post-production specialists. Because of this, the following policies apply to every service and contract.

1. Our Responsibility & Commitment

Once a project is confirmed, we commit 100% to:

  • Develop a creative concept based on your brand goals.

  • Professionally produce your video content (commercial, 3D, UGC, photos, short film, etc.).

  • Deliver the final piece fully edited, formatted, and ready to publish.

🚫 2. Refund Policy

We are fully committed to every project we take on, and we take pride in delivering professional, high-quality work with integrity and passion. As a creative production company, we work with a team of professionals who dedicate time, resources, and expertise from the moment a project is approved. For this reason, we do not offer refunds once payment has been made. This policy exists to protect the time and resources of our team, as well as to ensure the viability and quality of each production. The only exception to this would be in the highly unlikely case that, after receiving payment, our company fails to begin or deliver the project in any form—including scripting, planning, production, or post-production. In other words, if no work of any kind has been initiated by our team, and we are objectively unable to fulfill the agreement, we would, of course, issue a refund. However, we want to be clear: this situation has never occurred, and it goes against the very nature of who we are as creators.

At Video Content Shop, we are passionate about what we do, and we stand behind every project we deliver. Our team always moves forward with production as scheduled, ensuring your investment is honored and your content is brought to life with care and creativity. We are proud to deliver each project with full commitment, urgency, and respect for the client’s goals and timelines. When a client approves a budget, it includes not only creative work and deliverables, but also the scheduling, time-blocking, and resource prioritization that the project requires—especially for fast turnarounds. 

For this reason, once a project’s scope, timeline, and fee have been agreed upon and confirmed, no refunds or partial reimbursements will be issued, even if the client’s internal needs change after work has begun. In cases involving expedited delivery or urgent timelines, additional fees reflect the reorganization of our team’s production schedule, including weekends or after-hours effort. These resources are committed immediately upon agreement and cannot be “undone” retroactively. We understand that plans can evolve, and we remain flexible in adapting creatively. However, financial terms are not adjusted after production has begun. At Video Content Shop, we care deeply about our clients and go above and beyond to deliver exceptional results. We believe in transparency, fairness, and respect—on both sides. If you have any doubts or concerns, feel free to reach out. We're here to help, communicate transparently, and make this journey successful for both sides.

💳 Payment Terms & Conditions

The client agrees to make payment for the project or subscription to the bank account or payment method designated by Video Content Shop, which may include U.S.-based bank accounts, international accounts, or digital payment platforms. This flexibility ensures our team can operate efficiently and quote accurately based on project needs and operational costs. We also offer credit/debit card payments via Stripe. In such cases, the final project fee will include an additional charge equivalent to Stripe’s transaction fee (typically 3–5%), which will be added on top of the base budget. All bank transfer fees, international wire fees, currency conversion costs, and payment processing fees must be covered by the client. It is the client's responsibility to ensure that the full project amount is received by us—net of any fees or deductions. For example, if a project is quoted at €10,000, we must receive exactly €10,000, or its accurate USD equivalent as specified, regardless of any intermediary charges. Failure to account for these fees may result in project delays or additional billing to balance the difference. 🤝🎬

3. Client Inactivity Clause (Project Hold)

When a client makes a payment but then stops responding or participating in the project without clear communication, we will hold the project for up to 30 calendar days.

During this time, we will attempt to reach the client via the provided email or messaging channels. If we receive no written confirmation or intention to move forward within 30 days, the project will be considered abandoned.

🛑 Important: After 30 days of client silence, all funds received will be retained as a non-refundable donation.

  • This clause is supported by international freelance and creative service laws that protect service providers from being used as temporary "holding banks."

  • We are not a financial institution. Once a payment is received, resources are allocated and reserved for your project.

  • This clause exists to ensure efficiency, accountability, and respect for our team’s time and availability.

📦 4. Delivery & Payment Policy

  • If 100% payment is made upfront, the final video (without watermark) is delivered upon completion.

  • If the client chooses the 50/50 payment plan, a preview version with watermark will be sent after completion. The final watermark-free version will be released only once the remaining balance is paid in full.

🎯 5. Results Disclaimer

We specialize in creative production, not advertising performance. Once delivered:

  • VCS is not responsible for growth in followers, leads, or sales.

  • Organic or paid results depend entirely on your marketing strategy, including ad spend, target testing, and content deployment.

  • Our work is a professional tool — not magic. We create, you distribute strategically.

🎥 6. Can I Be on Set or Appear in the Video?

To ensure speed and creative freedom, we work remotely. Clients cannot appear on set or participate in the video, unless explicitly included in the project scope and with prior written agreement.
Professional actors and crew are provided for each production. Frank Rod, with over 10 years of experience in global campaigns, Netflix productions, and Super Bowl ads, may appear as lead or in cameo roles as needed.

📸 7. Copyrights & Licensing

All final videos, images, and audio are delivered with a limited usage license:

  • Includes: Organic online usage on social platforms and websites (For a set time to run ads).

  • Excludes: TV, CTV, cinema, film festivals, radio, or physical broadcast — unless an extended license is purchased.

  • 📷 Images, video stills, and graphics created by our artists are protected under her intellectual property and may require additional licensing for any usage beyond the original delivery terms.

✍️ 8. Revisions, Scripts, & Raw Files

  • We offer 1 revision (editing only, no reshoots).

  • All scripts we write are exclusively for the videos we produce. They are not transferable for use in external productions or campaigns.

  • We do not deliver raw files, project files, layered edits, or separate audio tracks. We only deliver the final edited product.

🎭 9. What Actors Are Included?

Actor inclusion depends on your selected package and production scope:

  • Our base package includes 1–3 professional actors.

  • Actor selection is based on availability and creative direction — specific talent cannot be guaranteed unless pre-approved and budgeted.

  • Additional actors or talent will require a separate quote.

🎬 10. Talent Release, Usage Rights & Portfolio Display

If you are a contractor, freelancer, or creative talent hired by Video Content Shop (VCS) to contribute to a project—whether as an actor, model, voiceover artist, 2D/3D designer, musician, speaker, editor, or any other creative collaborator—your payment from VCS serves as full and final compensation for your participation and for the use of your creative contribution, image, voice, likeness, or performance within the project.

By accepting payment, you grant VCS and our client the non-exclusive, non-transferable right to use your contribution within the scope of the project, according to the agreed platforms, regions, and timeframes established in the production brief or licensing agreement.

This includes:

  • Appearances or creative work in commercials, branded content, promotional media, music, visuals, and digital assets

  • Distribution across web, social media, digital ads, TV, CTV, cinema, FOOH advertising, or other formats, as agreed

Unless otherwise stated in a written agreement, this release is considered complete and final for the specified use.

⚠️ Unauthorized Client Use

If a client uses your image or work beyond the licensed scope (e.g., airing a 12-month TV license for 24 months), any claims or rights enforcement must be addressed directly to the client.
VCS is not responsible for unauthorized or dishonest actions performed independently by the client after asset delivery.

In such cases:

  • The talent has the right to pursue legal or financial claims directly against the client.

  • VCS reserves the right to act against the client for breach of contract and misrepresentation, in defense of both our team and our collaborators.

🎥 Portfolio & Creative Showcase Use

All completed work is considered part of the Video Content Shop creative portfolio. We reserve the right to use clips, stills, behind-the-scenes content, or finished assets from any project as part of our:

  • Demo reels

  • Website and social media

  • Advertising and promotional material

  • Educational or behind-the-scenes case studies

We use this material exclusively to showcase our creative capabilities and to continue growing alongside great clients and artists like you.

We believe in long-term creative partnerships, and this visibility allows us to keep producing meaningful, high-level content with collaborators we value. If there is ever sensitive content that you feel should be excluded from public display, we’re always open to discussing that respectfully and transparently.

📄 11. Terms & Conditions Updates

The client acknowledges and agrees that these Terms and Conditions are subject to periodic updates. As the audiovisual industry, technology, and business environment continue to evolve, Video Content Shop (VCS) reserves the right to modify, adapt, or expand these clauses as necessary in order to:

  • Align with new company policies or structural changes

  • Integrate emerging tools, platforms, and production technologies

  • Comply with updated legal standards or international regulations

  • Reflect shifts in creative strategy or business vision

All updates will be made in good faith, with the intent to protect the integrity of our work, our clients, our creative team, and our legal responsibilities.

📌 The latest published version of these Terms & Conditions will always supersede and replace previous versions and shall be considered the core legal reference for all new projects, ongoing collaborations, and future dealings—unless a specific contract or written agreement states otherwise.

We encourage all partners and clients to remain informed by reviewing the current version available on our website or upon request.

🎞 12. Ownership of Production Materials & Source Assets

All raw materials, project files, working documents, editable timelines, animation rigs, layered designs, 3D models, footage, sound libraries, effects, and other production assets created or used by Video Content Shop (VCS) during the execution of a project are the intellectual and creative property of VCS, and are not included in the standard project delivery.

Only the final exported video or agreed deliverables will be delivered to the client in formats specified in the production brief.

If the client wishes to obtain full or partial access to project files, editable assets, source designs, or working materials, a separate licensing agreement and additional fee must be negotiated in writing. VCS is under no obligation to deliver raw or editable materials unless explicitly agreed beforehand.

This protects the creative process and ensures fairness to all contributors involved.

🛡️ 13. Copyright & Licensing Terms

All creative materials produced by Video Content Shop (VCS)—including but not limited to videos, images, photographs, branded visuals, digital content, motion graphics, 3D renderings, UGC, illustrations, and installations—are protected under international copyright law.

Clients are granted a limited-use license, defined by:

  • Platform(s) (e.g., web, social media, TV, CTV, print, museum exhibits, digital signage)

  • Duration (e.g., 6 months, 1 year)

  • Territory (e.g., local, national, global)

This license does not constitute a transfer of ownership or full rights. Once the agreed license period or scope has expired, continued use is strictly prohibited unless a renewal or extension is negotiated and agreed upon in writing.

Example:

If a video is licensed for social media use for 12 months, and the client later rebroadcasts or reuses it on TV, CTV, or out-of-home platforms, or continues using it beyond the agreed time frame, a new licensing agreement must be signed. This also applies to the reuse of any stills, gifs, soundbites, or derivative media.

Similarly, if photographs, printed visuals, or large-scale images are used in physical formats (such as museum displays, gallery banners, or public installations), the client must comply with the usage scope defined in the agreement.

🔎 Hypothetical Scenario:
Imagine a case where VCS is hired by a cultural institution to produce large-format visuals (such as photographs or artwork) for use in a museum exhibition, under a clearly defined 12-month display license. Once the license expires, the institution continues to publicly display the images without renewal or written permission, and ignores all communication attempts regarding license extension or compensation.

In such a scenario, the original creator of the images—who retains full intellectual property rights—would be within their legal rights to pursue formal legal action to stop unauthorized use and seek appropriate compensation.

This underscores the importance of respecting licensing limits and written agreements regarding visuals, videos, and any creative content, especially when used in TV, CTV, digital, print, FOOH, or exhibition formats.

Such unauthorized use constitutes a violation of licensing terms and may result in legal consequences.

VCS fully supports the rights of its creative collaborators and reserves the right to pursue action against any misuse or exploitation of content beyond agreed terms.

📑 Assets from Third-Party Freelancers

If Video Content Shop (VCS) commissions a freelancer, artist, or independent creator to develop a digital asset, 3D model, design, or creative material from scratch, and full payment is made for the commissioned work, this transaction will be considered a work-for-hire agreement.

As such:

  • VCS will retain full ownership and copyright of the resulting asset.

  • The freelancer waives all future claims to additional compensation, royalties, or usage rights unless otherwise agreed in writing.

  • The asset may be modified, sold, sublicensed, or reused by VCS in future projects at its sole discretion.

📌 However, if a freelancer proposes an existing asset (i.e., one created prior to the collaboration) and VCS agrees to license or sell it through its platform or services, the intellectual property remains with the freelancer, unless a written transfer of rights has been signed.

In that case:

  • VCS must have a signed licensing agreement clearly defining the scope of usage, resale rights, territory, duration, and compensation.

  • VCS is not liable for any future disputes or claims related to ownership, unless the freelancer misrepresented the originality or legal status of the asset.

This clause ensures that VCS is protected as both commissioner and distributor, while maintaining transparency and fair treatment for all external collaborators.

🛡️ 14. Protection of Creative Team & Ethical Collaboration

At Video Content Shop (VCS), we prioritize a professional, respectful, and collaborative environment for both our clients and our creative partners. By engaging with VCS, the client agrees to maintain ethical conduct throughout the duration of the project, including communication, timelines, and expectations.

The client agrees to:

  • Refrain from applying unreasonable pressure, threats, intimidation, or emotional coercion to any member of the VCS team, including freelancers, editors, designers, or actors.

  • Respect the project boundaries, timeframes, deliverables, and creative process as defined in the signed agreement or proposal.

  • Understand that feedback rounds and revisions must occur within reasonable and predefined limits. Excessive revision demands outside the agreed scope may result in additional fees.

  • Communicate only through designated channels. Harassment or personal contact outside of approved systems (email, project dashboards, business platforms) will be considered a breach of contract.

💼 VCS reserves the right to pause, delay, or terminate any project where abuse, manipulation, or dishonesty is identified, especially if it compromises the well-being of our team or the integrity of the work.

Additionally:

  • All payments, licensing terms, and production rights must be honored. Delays in payment or refusal to fulfill agreed obligations may result in the suspension of deliverables and potential legal recourse.

  • Freelancers and collaborators working under VCS are covered by this policy. Any disputes or mistreatment directed at them will be handled by VCS management, not individually by the freelancer.

This clause ensures that our collaborators can create safely and professionally, and that clients receive the best possible results through fair and ethical interaction.

❌ 15. No Refunds After Final Delivery Based on Subjective Preference

Once the project has been completed and all deliverables have been submitted to the client in accordance with the approved brief and agreed scope of work, no refunds will be issued due to subjective dissatisfaction with the creative outcome (e.g., “I don’t like it,” “I changed my mind,” or “it doesn’t feel right”).

The client understands that:

  • Creative work is inherently subjective, and VCS commits to delivering the highest professional standards based on the approved script, references, and revision rounds.

  • Feedback opportunities are provided during the production process to address concerns before final delivery. If the client fails to participate actively or communicate changes during these stages, that is not grounds for a refund.

  • Once a project is completed and delivered, VCS has fulfilled its contractual obligation, and the client’s subjective preferences or changes of opinion do not qualify as breach or underperformance.

🛡️ This clause is standard in creative industries to protect the time, talent, and intellectual labor invested by directors, editors, designers, and collaborators involved in the project. It ensures fair treatment and professional boundaries.

In exceptional cases, and solely at the discretion of VCS, a goodwill adjustment may be discussed, but this is not an entitlement and must not be expected. 

Non-Payment Consequences

If the client agrees to a payment plan involving multiple installments (e.g., two or three payments), all payments must be made according to the agreed schedule.

Failure to make any scheduled payment will result in suspension of project deliverables until full payment is received. In such cases, all work completed up to that point remains the property of Video Content Shop (VCS) and may be used by VCS in its demos, portfolio, marketing materials, and promotional efforts.

While VCS is committed to maintaining flexibility and open communication regarding payment arrangements, non-response or failure to pay may lead to legal action to recover outstanding amounts. This may include additional charges for late payment fees, interest, and compensation for damages or losses caused by the delay.

Clients are advised that ownership and usage rights of delivered or in-progress materials do not transfer until full payment is made.

15.1. Budget Constraints & Realistic Expectations

All creative work delivered by Video Content Shop (VCS) is executed within the parameters of the agreed budget, production scope, and timeline. Clients understand that no production budget is unlimited, and that creative ambitions must align with the financial and logistical resources provided.

For example, a 5,000$-15,000$ production budget cannot be expected to include celebrity talent, international crews, or high-end VFX on par with blockbuster films. Likewise, subscription plans and creative service packages are carefully designed to offer maximum value within defined deliverables, rounds of feedback, and usage rights.

Clients acknowledge that:

  • The scope and outcome of the project are directly related to the allocated investment.

  • Unrealistic expectations that exceed the defined project scope do not constitute grounds for dissatisfaction or refund.

  • VCS is committed to delivering professional, impactful, and creatively engaging content—but always within the real-world limits of time, budget, and technical feasibility.

This clause helps ensure transparent communication and trust throughout the collaboration process and reflects the creative industry’s best practices for budget-responsible production.

16. Anti-Discrimination & Respect Policy

At Video Content Shop (VCS), we uphold a strict policy of zero tolerance toward any form of discrimination, harassment, or disrespect directed toward our team members, collaborators, actors, or creative partners.

By working with VCS, the client agrees to treat all individuals involved in the production—whether on-camera talent, voice artists, designers, editors, freelancers, or administrative staff—with full respect and dignity, regardless of their:

  • Race or ethnicity

  • National origin

  • Religion or belief system

  • Gender identity or expression

  • Sexual orientation

  • Age

  • Physical ability

  • Cultural background

Any client found to engage in discriminatory behavior, offensive comments, or attempts to exclude collaborators based on personal bias will be considered in breach of contract. VCS reserves the right to pause or terminate the project without refund, and to take appropriate measures to safeguard its team and ethical standards.

🤖 17. Artificial Intelligence (AI) Usage Policy

Video Content Shop (VCS) embraces Artificial Intelligence (AI) as a valuable creative and technical tool to enhance audiovisual production quality and efficiency. We may apply AI-powered techniques—such as voice enhancement, image retouching, facial adjustments, video generation, or smart editing—only when necessary, viable, and requested by the client.

Actors & Talent:

By participating in VCS productions, actors, models, and voice artists consent to fair use of AI in post-production for improvements within the project scope, including minor visual or audio adjustments involving their performance.

Clients & Expectations:

Clients agree to remain open to the use of AI tools under these conditions:

  • AI will not be used indiscriminately or in every project; it will be applied selectively where it genuinely benefits the creative outcome.

  • Due to the current nature of AI, results may sometimes be unstable or unpredictable. The client accepts the final flow and quality when AI is used as part of the process.

  • AI is a complex, costly tool requiring expertise and testing; it does not replace human creativity nor justify lower pricing without prior agreement.

  • Clients requesting exclusive use or exclusion of AI must communicate this upfront; VCS will accommodate where feasible, but results and timelines may be impacted.

18. Confidentiality and Portfolio Use

Both parties agree to keep all sensitive information, materials, and data shared during the project strictly confidential. No information shall be disclosed to third parties without prior written consent.

However, the client agrees that Video Content Shop (VCS) may use the final delivered videos, images, and related content as part of VCS’s portfolio, demos, website, social media, promotional materials, and marketing efforts.

VCS will only showcase the work after the client’s official premiere or launch, and typically with a respectful time buffer. Confidential or unreleased content will not be publicly shared without explicit approval.

19. Intellectual Property and Licensing

All original content created by VCS remains the property of VCS until full payment is received. Usage rights are granted as specified in the agreement. Pre-existing third-party assets remain subject to their own licenses.

20. Force Majeure

VCS is not liable for delays or failure to perform due to causes beyond its reasonable control, including natural disasters, pandemics, strikes, national holidays (in the USA or the country of our Independent creator or collaborators), or technical failures.

21. Limitation of Liability

VCS shall not be responsible for indirect, incidental, consequential, or punitive damages arising from the use or inability to use the delivered content.

22. Indemnification

The client agrees to indemnify and hold VCS harmless from any claims, damages, or losses resulting from the client’s misuse or illegal use of the delivered materials.

23. Revisions and Additional Work

The project includes a defined number of revision rounds as per the agreement. Additional changes or work beyond the agreed scope will incur extra charges.

24. Termination

Either party may terminate the agreement under specified conditions. Upon termination, payments made are non-refundable and deliverables up to that point will be provided according to the contract.

25. Use of Subcontractors

VCS may engage qualified subcontractors or freelancers to complete parts of the project, maintaining responsibility for quality and timely delivery.

26. Delivery and Storage

Deliverables will be provided in agreed formats. VCS stores project files for a limited time after delivery; clients are responsible for backup thereafter.

27. Governing Law and Jurisdiction

Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts located in Sante Fe, New Mexico, USA.

Where applicable, VCS and the client agree to seek amicable resolution or mediation prior to pursuing legal action.

Freelancers, partners, owners, and collaborators working at VCS, from outside the United States, retain the right to enforce their own rights under the applicable laws of their respective countries. For example, if intellectual property or contractual issues arise, freelancers may seek legal counsel and pursue claims according to local regulations and jurisdiction.

At Video Content Shop (VCS), we are fully committed to delivering high-quality video productions that meet your creative and strategic needs. Our guarantee is built on professionalism, transparency, and accountability — we don’t just promise results, we deliver them.

  • Your project will be completed as outlined in the agreed proposal and within the established timeline.

  • We use only professional talent, licensed tools, and industry-standard processes.

  • You’ll receive a polished final product in line with the scope of your chosen package or custom quote.

🔐 Your Project Is Safe With Us

Once your project begins, a dedicated team (directors, editors, voice artists, actors, etc.) is assigned, and production costs are incurred. Therefore:

  • Refunds are only issued if the project has not been started and no resources have been used.

  • If for any reason we determine that the project cannot be completed due to unforeseen force majeure (e.g., natural disaster, major platform issues, etc.), we will offer a full or partial refund, minus transaction fees.

  • If you partially pay (e.g., 50/50 structure), the final deliverables will be shared only after full payment is completed. This ensures protection for both parties.

⏳ Client Inactivity Clause

If you pay for a project but become unresponsive (no replies within 30 days despite multiple follow-ups), your project may be archived. After this grace period, no refund will be issued, and the payment will be considered a donation of time and resources, as we are not a banking service. We're always here to move the project forward — just stay in touch.

📈 End-Result Disclaimer

While we provide high-quality videos, images, or creative materials, VCS is not responsible for the client’s marketing results (e.g., views, engagement, conversions). Marketing success depends on your platform strategy, A/B testing, and ad spend. Our mission is to give you cinematic, engaging tools to power that strategy.
